General Services Agreement
Applicability
These terms and conditions apply to all services and deliverables provided by Sumi Communications (hereafter referred to as “Sumi Communications”), a communications and marketing consultancy, to its clients (hereafter referred to as “the Client”), unless otherwise agreed in writing. By engaging Sumi Communications, the Client accepts these terms. Acceptance of the Scope of Work in writing and receipt of an invoice from Sumi Communications constitute engagement, and the Client is therefore bound by the articles specified in the General Services Agreement, Terms & Conditions, and Remuneration & Payment Terms as given in this page, (hereafter collectively referred to as “the Agreement”).
Services and Scope
Sumi Communications is engaged solely to provide the services and deliverables outlined in the Scope of Work as communicated to the Client in writing prior to the start of the engagement. Any additional work beyond the agreed scope must be approved in writing by both Parties and may incur additional fees. Unless agreed between the Parties and the scope modified in writing, Sumi Communications shall not be liable to complete the added Scope of Work.
Sumi Communications is free to provide services to other clients and is not exclusive to any one client. Nothing in the agreed Scope of Work is as an exclusivity obligation for Sumi Communications to the Client. Sumi Communications in its sole discretion is free to engage and work in any kind of other brands and corporations.
Termination and Dispute Resolution
In case the Client would like to terminate the services and deliverables specified in the Scope of Work , the Client shall notify the Sumi Communications in writing at least one (1) month in advance. Likewise, in case Sumi Communications would like to discontinue its services, Sumi Communications shall notify the Client in writing at least one (1) month in advance. For the avoidance of the works completed by Sumi Communications under the Scope of Work within such period shall be chargeable to the Client.
If the Client finds the work of Sumi Communications unsatisfactory, the Client may request revisions as long as such revision requests comply with the Revisions and Approval procedure below. Once the procedure under Revisions and Approval is exhausted, if the Client still finds the work unsatisfactory, Sumi Communications shall not be under any additional obligations.
Upon termination for any reason, all fees and reimbursements shall be immediately paid and provided to Sumi Communications as they have accrued up to the date of termination.
For any dispute, claim or legal action arising out of the hereby Agreement, the laws of the Republic of Turkiye shall apply and the parties shall be subject to the jurisdiction of courts in İstanbul (Caglayan) only.
Terms & Conditions
Revisions and Approval
The remuneration given within the Scope of Work includes the revisions specified within this article. The number of revisions per each Services and Deliverables agreed within the Scope of Work is three (3). Save for the case where additional remuneration are agreed between the Parties, Sumi Communications shall not be responsible with further revisions under any circumstances.
The Client may submit its revision feedback regarding the services and deliverables specified in the Scope of Work within three (3) business days upon its submission. If Sumi Communications does not hear from the Client team within the specified number of days, the work shall be considered accepted with no further changes.
If revisions are received within three (3) days as specified above, Sumi Communications may deliver the revised work within three (3) business days.
If the Client wishes to alter the services and deliverables specified in the Scope of Work beyond the initial descriptions listed and beyond the included revisions as per this article, Client shall still be liable to pay Sumi Communications all fees accrued as per this Agreement before any additional edits are made. Sumi Communications will then charge the Client for additional edits, the remuneration of which shall be determined at the time the edits are discussed. Unless the accrued payments are completed as per this article by the Client, Sumi Communications shall be under no obligation to convey a proposal for further revisions.
Intellectual Property
All intellectual property contained within the services and deliverables specified in the Scope of Work shall become the intellectual property of the Client, free and clear, as a work-made-for-hire.
Notwithstanding the specific rights of intellectual property outlined by this Agreement, Sumi Communications shall be permitted to use all work in Sumi Communications's professional portfolio, after such work has been made public by the Client. Nothing contained herein shall limit Sumi Communications’ such right.
Confidential or Proprietary Information
Sumi Communications hereby acknowledges and agrees that Sumi Communications may receive confidential and/or proprietary information relating to the Client’s business. Sumi Communications acknowledges and agrees that it shall not disclose confidential and/ or proprietary information by any means not authorized by the Client and not use the confidential and/or proprietary information for any purpose except those expressly authorized by the Client. Sumi Communications also acknowledges and agrees to inform the Client immediately if it becomes aware of any unauthorized use or disclosure of confidential and/or proprietary information.
Remuneration & Payment Terms
Fees are as agreed in the written scope of work and invoiced in the first week of each month. Payments are typically made via bank transfer to the online payment account specified on the invoice.
The payments for the invoices will be due on receipt of the invoice. Payments are due within 30 days of invoice date unless otherwise specified. In case of late payment, statutory interest and reasonable collection costs may apply. Unless the Client completes the payments, Sumi Communications has the right to cease the provision of all services and deliverables specified in the Scope of Work and terminate the engagement on its sole discretion. In such a case any payment due to Sumi Communication already accrued shall be reserved.
Sumi Communications is liable only for direct damages resulting from intent or gross negligence. Liability is limited to the value of the invoice for the services in question. Sumi Communications is not liable for indirect damages such as lost profits or reputational loss. Any taxes that may arise due to the execution or performance of this Agreement shall be borne by the Client.
